1. Acceptance of Terms

By accessing or using Memo's conversation intelligence platform (“Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Memo provides AI-powered conversation intelligence, including meeting recording, transcription, analysis, and insight generation. The Service may include web applications, mobile applications, browser extensions, and API integrations.

3. User Responsibilities

You agree to:

  • Obtain proper consent from all meeting participants before recording conversations
  • Comply with all applicable recording and privacy laws in your jurisdiction
  • Keep your account credentials secure and confidential
  • Use the Service only for lawful business purposes
  • Not attempt to reverse-engineer, modify, or misuse the Service

4. Intellectual Property

You retain full ownership of your conversation data, including recordings, transcripts, and any content captured through the Service. Memo retains ownership of the platform, algorithms, models, and all proprietary technology used to deliver the Service.

AI-generated insights, summaries, and analysis produced from your conversations are considered your data and are treated accordingly under our Privacy Policy.

5. Subscription & Billing

Paid plans are billed on a monthly or annual basis as selected. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Free tier users may be subject to usage limits as described on our pricing page.

6. Service Availability

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and are not liable for downtime due to maintenance, updates, or circumstances beyond our control. Enterprise customers may have specific SLA terms in their agreements.

7. Limitation of Liability

To the maximum extent permitted by law, Memo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

8. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease, and your data will be handled in accordance with our Privacy Policy and data retention practices. We may terminate or suspend accounts that violate these terms.
